Terms of Service - SoundCity Digital World

1. Acceptance of Terms

By accessing or using the website soundcitydigitalworld.com (the "Platform") or any services provided by SoundCity Digital World ("SoundCity," "we," "us," or "our"), you agree to be bound by these Terms of Service ("ToS"). If you disagree with any part of the terms, then you may not access the service.

2. General Platform Access and User Roles

SoundCity Digital World provides a marketplace and service platform where users can:

Purchase Audio Beats and Sounds: Users acting as Buyers can acquire audio content offered by other users.
Sell Audio Beats and Sounds: Users acting as Sellers can upload, market, and sell original audio content to Buyers.
Book Studio Sessions: Users can schedule and pay for time at our on-site music studio via the Platform.

3. Financial Terms and Commission Structure

3.1. Commission and Payouts

Commission Rate: SoundCity Digital World shall retain a **30% (thirty percent) commission** from the final gross sale price of every audio beat or sound pack successfully sold through the Platform.
Seller Payout: The Seller will receive the remaining 70% of the sale price, less any applicable third-party transaction fees.
Pricing Responsibility: Sellers are solely responsible for **setting the price of their audio beats in US Dollars (USD)**, ranging from $0.00 (free) up to a maximum of $10,000.00.
Pricing Mistakes: SoundCity Digital World shall **not be held responsible for any pricing mistakes or errors** made by the Seller during the upload or listing process.

3.2. Disbursement Timeline

Disbursement of funds to the Seller's designated account typically takes **5 to 7 working days** from the date of the request, or less, depending on current traffic and banking verification processes. SoundCity is not responsible for delays caused by banks or payment processors.

4. Intellectual Property and Content Liability

4.1. Seller Content Ownership

Sellers warrant that they are the **sole owner and creator** of all audio beats and content they upload, or that they have all necessary licenses and permissions to sell and monetize the content.

4.2. Indemnity Against Copyright Infringement

Limitation of Liability: We cannot verify the originality of every audio upload globally. You agree to **indemnify, defend, and hold harmless** SoundCity Digital World against any and all claims, liabilities, or expenses arising out of or related to any allegation that your content infringes upon the intellectual property rights of a third party.

Upon receipt of a valid Takedown Notice, the challenged content will be promptly removed.

5. Prohibited Conduct and Fraudulent Activity

5.1. Prohibited Fraudulent Acts

Prohibited fraudulent acts include, but are not limited to: selling unauthorized copies of copyrighted work, attempting to sell infringing content, or manipulating the platform's payment systems.

5.2. Consequences of Fraud

If fraud is determined by SoundCity Digital World, the user will face:

**Permanent Account Closure:** The user's account will be permanently closed and banned from the Platform.
**Forfeiture of Funds:** All funds currently accrued, pending, or acquired through the Platform as a result of the fraudulent activity shall be **immediately forfeited** to SoundCity Digital World.

6. Contests and Promotions

Any contest, challenge, or promotional event hosted on the Platform is subject to **its own specific and separate Terms and Conditions**. By participating, you agree to comply with the terms specific to that contest.

7. Studio Booking Service

Availability: Studio session availability is displayed in real-time and is subject to change.
Cancellation Policy: Cancellations must be made **48 hours in advance** to book another available date as we **do not carry out refunds**.
Liability: SoundCity Digital World is not responsible for any personal equipment brought into the studio premises.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the **laws of the Federal Republic of Nigeria**. You agree to submit to the exclusive jurisdiction of the courts located in **Abuja, Nigeria**, to resolve any legal matter arising from these Terms.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these ToS at any time. We will provide at least 30 days' notice prior to any material new terms taking effect. Your continued use of the Service after the revisions become effective constitutes your agreement to the revised terms.
